Untersucht werden die wesentlichen internationalen Modellregelungen zum Insolvenzrecht und ausgewahlte nationale Rechtsordnungen. Dies soll Prinzipien aufzeigen, die fur grenzuberschreitende Insolvenzen von Unternehmen gelten. Schwerpunkte sind die Europaische Insolvenzverordnung und das UNCITRAL Modellgesetz uber grenzuberschreitende Insolvenzen.
Das Insolvenzrecht hat Einfluss auf das (formelle) Besteuerungsverfahren, insbesondere auf das steuerliche Ermittlungsverfahren. Um möglichen Haftungsansprüchen vorzubeugen, muss die Frage geklärt werden, wer bei Insolvenz über das Vermögen einer Personengesellschaft die steuerlichen Mitwirkungspflichten zu erfüllen hat. Im Fokus der Betrachtung steht dabei die Funktionsteilung zwischen dem Insolvenzverwalter, den Gesellschaftsorganen und den Gesellschaftern. In diesem Kontext wurden insbesondere die Bilanzierungs- sowie die Steuererklärungspflichten bei Insolvenz der Personengesellschaft untersucht. In Folge dessen wird der Umfang der Bilanzierungspflicht, sowie die Zuständigkeit für die Aufstellung der Gesamthands-, Ergänzungs- und Sonderbilanz beleuchtet. Hinsichtlich der Steuererklärungspflicht greift die Arbeit u. a. die teilweise in der Literatur geäußerte Kritik an der finanzgerichtlichen Rechtsprechung zur gesonderten und einheitlichen Gewinnfeststellungserklärung bei Insolvenz der Personengesellschaft auf, zeichnet die Entwicklung nach und erörtert ausführlich die Argumentationsstränge.
Geraten zu einer Unternehmensgruppe verbundene Rechtsträger in die Insolvenz, stellt dies nicht nur für die Beteiligten, sondern auch für das Insolvenzrecht eine große Herausforderung dar. Mit dem Ziel, insbesondere die speziell aus der Gruppenverbundenheit resultierenden Werte in und über die Insolvenz hinaus zu bewahren, stehen die auf die Einzelinsolvenz zugeschnittenen Regelungen der InsO und der EuInsVO seit langem auf dem Prüfstand. Der Autor untersucht die dahingehenden deutschen Reformansätze sowie die neuen Regelungen der EuInsVO. Dabei zeigt er, dass der Schlüssel zur erfolgreichen Bewältigung von Insolvenzen innerhalb einer Unternehmensgruppe vorrangig in einer Zuständigkeitskonzentration liegt; und zwar sowohl auf Gerichts-, als auch auf Verwalterebene.
